Terms of Service

These Terms of Service ("Terms") govern your access to and use of sherpabonds.com and any associated applications (collectively, the "Service"), operated by SherpaBonds ("SherpaBonds," "we," "us," or "our"). Please read them carefully.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service.

1. Acceptance of these Terms

By accessing or using the Service — including by creating an account, browsing the site, or using any feature — you confirm that:

  1. You have read, understood, and agree to be bound by these Terms;
  2. You meet the eligibility requirements in Section 5;
  3. If you are using the Service on behalf of an organization, you have authority to bind that organization to these Terms, and "you" refers to that organization.

If you do not agree with any part of these Terms, you must not use the Service.

2. The Service

SherpaBonds provides a discovery interface and analytics layer over publicly available fixed-income data, including bond identifiers, reference data, prices published by regulators and exchanges, fund-holding data, and derived metrics such as duration, convexity, yield-to-maturity, and ETF holdings overlap. The Service is intended solely for informational and educational purposes.

We reserve the right to modify, suspend, or discontinue any feature or the Service as a whole at any time, with or without notice.

3. No financial advice — important disclaimer

Nothing on the Service constitutes investment, financial, legal, tax, accounting, or regulatory advice, nor an offer, solicitation, or recommendation to buy, sell, hold, or otherwise deal in any security, bond, fund, or financial instrument.

Specifically:

  • No advisory relationship: Use of the Service does not create any investment advisory, brokerage, fiduciary, or professional relationship between you and SherpaBonds.
  • No registration: SherpaBonds is not a registered investment adviser, broker-dealer, financial planner, commodity trading adviser, or tax professional in any jurisdiction, including under the U.S. Investment Advisers Act of 1940, the U.S. Securities Exchange Act of 1934, MiFID II, or any equivalent legislation.
  • Algorithmic output is not personalized advice: Content on the Service — including rankings, recommendation rails, search results, alerts, watchlist suggestions, and any output of personalization or discovery features — is generated algorithmically from public data. It does not reflect a personalized assessment of your financial situation, investment objectives, risk tolerance, tax position, or any other individual circumstances.
  • No reliance: You must not rely on any information on the Service for trading, execution, valuation, portfolio management, accounting, regulatory reporting, or any other decision with financial or legal consequences.
  • Consult a professional: Before making any investment or financial decision, consult a qualified, licensed professional (such as a registered investment adviser, licensed broker, or independent financial planner) who can take your personal circumstances into account.
  • You are responsible: You are solely responsible for your own due diligence, for verifying any information against primary sources (issuer, exchange, custodian, regulator), and for any investment decisions you make.

This disclaimer applies in all jurisdictions. It is not intended to limit or override any statutory rights you may have that cannot be excluded by contract.

4. Data accuracy, limitations, and third-party sources

4.1 Nature of the data

The Service ingests data from public third-party sources including regulators, exchanges, and custodians. This data is provided as is. We make no representation or warranty — express, implied, or statutory — as to:

  • The accuracy, timeliness, completeness, or reliability of any data;
  • Whether prices, yields, ratings, or analytics are current or suitable for any purpose;
  • The absence of errors, omissions, or delays in any data feed.

Prices may be stale, delayed, end-of-day, derived, or sourced from differing venues with different conventions. Derived analytics (including yield-to-maturity, duration, and convexity) are calculated estimates and may differ from figures published by issuers, exchanges, or other financial data providers.

4.2 No execution-quality data

Data on the Service is not suitable for trading or execution decisions. It must not be used as a reference price for any transaction, settlement, valuation, or regulatory reporting purpose.

4.3 Third-party source limitations

Third-party data providers may change their feeds, impose restrictions, or discontinue data at any time. We do not guarantee continuous availability of any particular data set. Certain data may be subject to third-party terms and conditions that restrict your use; you are responsible for complying with those terms.

4.4 Ratings

Credit ratings displayed, if any, are sourced from third-party rating agencies. Ratings are the opinions of those agencies and not of SherpaBonds. They do not constitute a recommendation to buy, sell, or hold any instrument, and may be changed, suspended, or withdrawn at any time by the issuing agency.

5. Eligibility and accounts

5.1 Age and capacity

You must be of legal age to form a binding contract in your jurisdiction (at least 18 in most jurisdictions) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

5.2 Jurisdictional restrictions

The Service is intended for general informational use globally, but may not be appropriate or legally permissible in all jurisdictions. You are responsible for ensuring that your access to and use of the Service complies with all laws and regulations applicable to you in your jurisdiction, including any restrictions on access to financial information platforms.

5.3 Account security

You are responsible for:

  • Maintaining the confidentiality of your account credentials;
  • All activity that occurs under your account, whether or not authorized by you;
  • Notifying us promptly at ganiz@ganiz.com if you become aware of any unauthorized use of your account.

We are not liable for any loss or damage arising from unauthorized use of your account where you have failed to safeguard your credentials.

5.4 Account termination by you

You may delete your account at any time. Following deletion, your personal data will be handled in accordance with our Privacy Policy.

6. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  1. Scrape or bulk-download: Use automated tools, bots, crawlers, or scripts to scrape, harvest, or bulk-download data from the Service beyond normal interactive use, or in a manner that imposes disproportionate load on our infrastructure;
  2. Reverse engineer: Attempt to decompile, disassemble, reverse engineer, or extract source code, algorithms, models, or proprietary logic from the Service;
  3. Redistribute data commercially: Redistribute, resell, sublicense, or republish data obtained through the Service as or within a commercial data product, financial data feed, or competing service without our prior written consent;
  4. Violate applicable law: Use the Service in a manner that violates any applicable law or regulation, including securities law, market abuse law, anti-money-laundering law, data protection law, sanctions, or intellectual property law;
  5. Market manipulation: Use the Service in connection with any scheme to manipulate the price of, or market for, any financial instrument;
  6. Interfere with the Service: Attempt to gain unauthorized access to, interfere with, disable, or disrupt the Service, its servers, or any infrastructure connected to it;
  7. Impersonate or deceive: Impersonate any person or entity, or falsely represent your affiliation with any person or entity, in connection with your use of the Service;
  8. Circumvent access controls: Use technical means to circumvent any access restrictions, geoblocking, or security measures we implement.

Violation of this Section may result in immediate suspension or termination of your access and, where appropriate, referral to law enforcement or regulatory authorities.

7. Intellectual property

7.1 Our rights

The Service — including its interface, design, software, source code, aggregations, derived analytics, documentation, branding, and all other original elements — is owned by SherpaBonds and its licensors and is protected by copyright, trademark, trade secret, and other applicable intellectual property laws. Nothing in these Terms transfers any ownership of our intellectual property to you.

7.2 Limited license to you

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial, informational purposes only. This license does not include any right to sublicense, redistribute, or create derivative works from the Service or its data.

7.3 Third-party data rights

Underlying bond reference data, prices, fund holdings, and other market data remain the property of their respective issuers, exchanges, regulators, custodians, index providers, and data suppliers. Your use of such data through the Service is subject to those parties' terms and any applicable law.

7.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.

8. User content

8.1 Your ownership

Watchlists, portfolio positions, notes, tags, and other content you create within the Service ("User Content") remain yours. We do not claim ownership of your User Content.

8.2 License to us

You grant SherpaBonds a limited, non-exclusive, worldwide, royalty-free license to store, process, and use your User Content solely to:

  • Operate the Service and provide its features to you;
  • Generate personalized recommendations and discovery surfaces for your account;
  • Maintain backups and ensure service continuity.

This license terminates when you delete the relevant content or your account, subject to our data retention practices described in the Privacy Policy.

8.3 Our commitments regarding User Content

  • We do not sell your portfolio, watchlist, notes, or other User Content;
  • We do not expose your User Content to other users of the Service;
  • We do not use your User Content to train third-party AI or machine-learning models.

9. Third-party services and links

The Service may contain links to or integrations with third-party websites, services, or content. We do not control, endorse, or assume responsibility for any third-party content, privacy practices, or terms. Your use of third-party services is at your own risk and subject to those parties' terms.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL DATA, CONTENT, AND FEATURES PROVIDED THROUGH IT ARE OFFERED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT;
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES THAT ANY DATA, PRICE, YIELD, RATING, ANALYTIC, OR OTHER INFORMATION IS ACCURATE, CURRENT, COMPLETE, OR RELIABLE;
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED.

Nothing in this Section limits any statutory consumer rights you may have under applicable law that cannot be excluded by contract, including rights available under EU consumer protection law, UK consumer law, or equivalent protections in other jurisdictions.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHERPABONDS, ITS OPERATORS, OFFICERS, EMPLOYEES, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
  • ANY LOSS OF PROFITS, REVENUE, SAVINGS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY;
  • ANY TRADING, INVESTMENT, OR FINANCIAL LOSSES OF ANY KIND;
  • ANY LOSS ARISING FROM RELIANCE ON DATA, ANALYTICS, OR CONTENT PROVIDED THROUGH THE SERVICE;

WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

WHERE LIABILITY CANNOT BE FULLY EXCLUDED BY LAW (INCLUDING IN THE EU, UK, AND CERTAIN OTHER JURISDICTIONS), OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless SherpaBonds and its operators, officers, employees, affiliates, and licensors from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service or any data obtained through it;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your violation of any third-party right, including intellectual property, data, or privacy rights;
  • Any User Content you submit.

We reserve the right to assume exclusive control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense.

13. Termination

13.1 Termination by us

We may suspend or terminate your access to the Service at any time, with or without prior notice, if we reasonably believe you have violated these Terms, if required by law, or if we decide to discontinue the Service in whole or in part. We will endeavor to provide reasonable notice of any planned discontinuation of the Service.

13.2 Termination by you

You may stop using the Service and delete your account at any time.

13.3 Effect of termination

Upon termination for any reason, your license to use the Service ceases immediately. Sections 3, 4, 7, 8.2, 8.3, 10, 11, 12, 15, and 16 survive termination.

14. Changes to these Terms

We may update these Terms from time to time to reflect changes in the Service, applicable law, or our practices. When we do, we will:

  • Update the "Effective date" at the top of this document;
  • For material changes, provide at least 30 days' advance notice through the Service or by email before the changes take effect;
  • Make prior versions available on request at ganiz@ganiz.com.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree with any updated Terms, you must stop using the Service.

15. Governing law and dispute resolution

15.1 No pre-selected jurisdiction

SherpaBonds operates globally and does not designate a single governing law or exclusive forum in these Terms. Any dispute arising out of or relating to these Terms or the Service shall be governed by, and resolved in accordance with, the laws and courts or arbitral forums of competent jurisdiction determined under generally applicable conflict-of-laws principles, subject to the mandatory consumer protection, data protection, and other laws of your jurisdiction that cannot be excluded by contract.

15.2 Informal resolution

Before initiating any formal proceeding, you agree to contact us at ganiz@ganiz.com and give us 30 days to attempt to resolve the dispute informally.

15.3 Individual basis

To the extent permitted by applicable law, you agree that any dispute, proceeding, or arbitration arising out of or relating to these Terms shall be conducted on an individual basis and not as a class, collective, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration, except where such waiver is prohibited by the law governing your claim.

15.4 EU and UK residents

Nothing in Section 15 affects your rights as a consumer under mandatory EU or UK consumer protection laws, including your right to bring claims before courts in your country of residence, or your rights under the EU Online Dispute Resolution platform (available at ec.europa.eu/consumers/odr).

16. General provisions

16.1 Entire agreement

These Terms, together with the Privacy Policy and any other policies or notices published on the Service, constitute the entire agreement between you and SherpaBonds with respect to the Service and supersede all prior agreements, understandings, and representations.

16.2 Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

16.3 No waiver

Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of our right to enforce that provision on any other occasion or to enforce any other provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets, provided that we notify you and any assignee remains bound by these Terms.

16.5 Force majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, internet or infrastructure outages, or third-party service failures.

16.6 Language

These Terms are written in English. To the extent any translated version conflicts with the English version, the English version controls, except where prohibited by applicable law.
